general rules for board and chair members

Executive Board

Must be at least three (3) people.

One person can hold two (2) roles . 

The two roles cannot be President and Vice-President combined.

Board of Directors

Comprised of 7 People.

  • Executive Board (3-4)
  • Committee Chairs (3)

If an Executive Board is also a Chair- a committee member can be elected on the Board of Directors by a vote from the Board of Directors. 

Committee Structure

Chair plus 4 members


Fundraising Committee: Identify opportunities and oversee fundraising activities

Membership Committee: Share the mission of PASA, recruit and support new members.

Community Impact: Identify opportunities to support the mission of PASA through educational events, volunteering, campaigns, etc.

Requirements for Board Members

  • Must be a member of PASA
  • All Board and Chairs are elected annually for a term of 1 year.
  • Any Board or Chair who is responsible for finances requires a clean background check.
  • The Board of Directors will help support the development and updates to the strategic plan.
  • Attendance is required at all regularly scheduled meetings. 
  • If an Executive Board, Board of Directors or Chair is unable to attend a meeting, they must inform the President and Committee Members. 
  • If 2 meetings are missed without cause or notice, they may be removed from the position by a vote of the Board of Directors.
  • If a Board Member misses > 25% of scheduled meetings (General, Committee, Board)- they may be removed from their position by a vote of the Board of Directors.

  • Chair and set agenda for all PASA General Meeting.
  • Be automatically part of all committees.
  • Able to represent and speak on behalf of PASA at professional and community events.
  • Support Executive Board, Board of Directors and Committees in the creation and attainment of PASA Strategic Plan and Committee Goals.
  • In conjunction with the Executive Board and Board of Directors, updates policies, procedures and bi-laws as needed.

  • Support the President in role and fill-in if the President is unable to attend an event.
  • If the President is unable to complete their term, the Vice President will function as President for the remainder of the term.

  • Manage and oversee PASA finances and provide monthly report at Board of Director Meeting
  • Receive income (Membership, donations, fundraising) and pay expenses as approved by the Executive Board.
  • Serve as a member of the Fundraising Committee.

  • Update and disseminate meeting agenda and minutes
  • Maintain attendance record for Executive Board, Board of Directors, General and Committee meetings.
  • Maintain up to date membership files (in conjunction with Membership Committee and Treasurer).
  • Maintain and update social media sites (Facebook, LinkedIn, Instagram)

  • Schedule and conduct regular meetings with their committee (min 6 per year)
  • Define the goals and objectives for the committee.
  • Attend the monthly Board of Director meeting and provide updates.
  • Attend or designate a committee member to attend General Meetings for updates.
